IMPORTANT NOTICE: This is a legal document that affects your legal rights. Please read carefully before signing. By signing this form, you are waiving certain legal rights, including the right to sue for injuries. If you do not understand any portion of this document, please seek legal advice before signing.

Completion Instructions

Please complete only the sections that apply to your situation:

Adult Participants (18 years or older): Complete Section A (read and acknowledge), Section C, Section D, and Section E (your binding signature).

Minor Participants (under 18 years): A parent or legal guardian must complete Section B (including signature in B.9), Section C, and Section D. Do NOT complete Section E. Your signature in Section B.9 is your binding signature. Minor participants aged 14 and older must also provide their signature in Section B.9.

Section A: Adult Participants (18+ Years)

I, the undersigned participant, hereby acknowledge that The Platform LLC ("The Platform") group classes and private training sessions at any Platform studio location ("Programs") involve inherent risks of serious injury or death. I understand these risks include but are not limited to:

Physical Risks: Muscle strains, sprains, fractures, joint injuries, equipment-related injuries, participant collisions, cardiovascular events (heart attack, stroke), respiratory distress, dehydration, heat exhaustion, sudden death, and aggravation of pre-existing conditions.

Activity-Specific Risks:

  • Heated Yoga: Heat exhaustion, heat stroke, severe dehydration, dizziness, fainting, nausea, disorientation, and exacerbation of heat-sensitive medical conditions
  • Pilates (Reformer and Equipment): Entanglement in straps or springs, spring recoil injuries, falls from apparatus, pinching or crushing injuries, and strain from improper form or resistance settings
  • Tread Training: Falls from moving equipment, impact injuries, shin splints, joint stress, and cardiac events associated with high-intensity interval training

Environmental Risks: Wet or uneven surfaces, equipment malfunction, temperature variations, and other facility-related hazards.

Infectious Disease Risks: Exposure to bacteria, viruses, fungi, and other pathogens including but not limited to COVID-19, influenza, and other communicable diseases that may be transmitted through person-to-person contact, respiratory droplets, shared equipment, or facility surfaces.

A.1 Assumption of Risk

I voluntarily assume all risks associated with participation, whether known or unknown, foreseen or unforeseen. I acknowledge that no amount of instruction, supervision, or safety measures can eliminate these inherent risks.

A.2 Release of Claims

I hereby waive, release, and forever discharge The Platform LLC, and its owners, members, managers, directors, officers, shareholders, partners, employees, instructors, independent contractors, agents, representatives, volunteers, affiliates, subsidiaries, landlords, property owners, equipment manufacturers, successors, and assigns (collectively, "Released Parties") from any and all claims, demands, damages, rights of action, or causes of action, whether based on negligence, gross negligence, breach of contract, breach of warranty, or any other legal theory, resulting from my participation in the Programs.

A.3 Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, actions, suits, procedures, costs, expenses, damages, and liabilities, including reasonable attorney's fees, brought by any third party as a result of my involvement in the Programs or arising from my breach of any warranty, representation, or agreement contained in this document.

A.4 Covenant Not to Sue

I covenant and agree that I will not sue or bring any claim, demand, action, or proceeding against the Released Parties for any injury, death, damage, or loss arising from or related to my participation in the Programs. I further agree that if I bring any such claim in violation of this covenant, I shall be liable for all costs and expenses, including reasonable attorney's fees, incurred by the Released Parties in defending against such claim.

A.5 Waiver of California Civil Code Section 1542

I expressly waive and relinquish all rights and benefits under California Civil Code Section 1542, which provides:

A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

I acknowledge that I may discover facts different from or in addition to those I now know or believe to be true regarding the subject matter of this release, and I agree that this release shall remain in full force and effect notwithstanding the discovery of any such facts.

A.6 Medical Clearance

I represent that I am physically capable of participating and have consulted with a physician if recommended based on my age, health status, or medical history.

A.7 Right and Responsibility to Stop

I acknowledge that I have the right and responsibility to stop my participation in any activity if I feel unwell, experience pain, discomfort, dizziness, or any other warning signs. I understand that my failure to stop exercising under such circumstances is at my own risk, and I release the Released Parties from any liability arising from my decision to continue participating.

A.8 Acknowledgment

I acknowledge that I have carefully read this entire agreement, understand its contents and legal consequences, have had the opportunity to ask questions and seek legal advice, and agree to be bound by its terms. I acknowledge that I have received or been offered a copy of this agreement.

Section B: Minor Participants (Under 18 Years)

MINOR PROTECTION POLICY NOTICE: The Platform is committed to the safety and protection of all minor participants. All staff working with minors are trained in minor protection protocols and are mandated reporters under California law. Parents/guardians have the right to observe any class or session, review our Minor Protection Policy (HR-036), and report concerns to management at any time.

I have full legal authority to execute this agreement on behalf of the Minor Participant and certify that I am legally authorized to bind the Minor Participant to this agreement. By signing below, I authorize emergency medical treatment for Minor Participant and agree to financial responsibility for such treatment.

B.2 Enhanced Risk Acknowledgment for Minors

I acknowledge that minors may face additional risks including:

  • Lack of mature judgment in assessing risks
  • Potential for more severe injuries due to developmental factors
  • Need for enhanced supervision and instruction
  • Increased susceptibility to peer pressure leading to unsafe behavior

B.3 Age-Specific Restrictions and Parental Presence Requirements

IMPORTANT: The Platform requires a minimum age of 12 years for all group classes. Age-specific supervision requirements apply as follows:

B.4 Parental Liability Release

On behalf of myself and the Minor Participant, I hereby:

  • WAIVE AND RELEASE all claims against The Platform LLC, and its owners, members, managers, directors, officers, shareholders, partners, employees, instructors, independent contractors, agents, representatives, volunteers, affiliates, subsidiaries, landlords, property owners, equipment manufacturers, successors, and assigns (collectively, "Released Parties") arising from Minor Participant's involvement in Programs
  • ASSUME ALL RISKS associated with Minor Participant's participation, including risks arising from negligence or gross negligence of the Released Parties
  • AGREE TO INDEMNIFY the Released Parties against any claims, damages, costs, and attorney's fees brought by or on behalf of Minor Participant
  • COVENANT NOT TO SUE the Released Parties on behalf of myself or Minor Participant for any injury, death, damage, or loss arising from participation in Programs
  • WAIVE CALIFORNIA CIVIL CODE SECTION 1542 on behalf of myself and Minor Participant, acknowledging that this release covers all claims, known or unknown, suspected or unsuspected
  • ACKNOWLEDGE that this release is binding on Minor Participant's heirs, assigns, and estate

B.5 Medical Requirements for Minors

  • Physician clearance required for all participants under 16
  • Emergency contact information must be current and accessible
  • Parent/guardian must disclose all relevant medical conditions, medications, and restrictions
  • The Platform reserves the right to require additional medical documentation

B.6 Supervision & Behavioral Standards

Minor Participants must:

  • Follow all instructor directions immediately
  • Demonstrate appropriate maturity and focus
  • Respect other participants and equipment
  • Leave the premises if exhibiting disruptive behavior

The Platform reserves the right to suspend or terminate Minor Participant access for safety violations.

B.8 Minor Protection Policy Acknowledgment

By signing this form, I acknowledge the following:

  • I understand that The Platform has zero tolerance for abuse, neglect, exploitation, or inappropriate conduct toward minors and that violations result in immediate termination and possible criminal prosecution
  • I understand that all staff working with minors are mandated reporters under California law (CANRA) and are required to report any reasonable suspicion of child abuse
  • I understand my rights as a parent/guardian, including the right to:
    • Observe any class or session
    • Receive information about programs and staff
    • Review the Minor Protection Policy
    • Be informed of incidents involving my minor
    • Withdraw my minor from programs at any time
    • Report concerns to management

Section C: Universal Provisions

C.1 Medical Disclaimers

Instructors and Platform staff are not medical professionals. Any information, advice, or guidance provided is for general fitness purposes only and should not be construed as medical advice, diagnosis, or treatment recommendations.

C.2 Personal Property

The Platform assumes no responsibility for lost, stolen, or damaged personal property. Participants use storage areas and facilities at their own risk.

C.3 Photo/Video Consent

For Adult Participants: I understand that at times a class may be photographed or videographed at The Platform and I may be in these photos or videos. I understand that these images may be used internally or in promoting The Platform services, either in print or on the Internet. With my signature below I grant permission to be photographed, and for those images or videos to be recorded for print or electronic use in promoting the studio's services. I understand that it is my responsibility to update this form in the event that I no longer wish to authorize the above uses. I agree that this form will remain in effect during the term of my participation at the studio. I understand that there will be no payment for me in this release.

For Minor Participants: I, as parent/guardian, grant permission for Minor Participant to be photographed or videographed and for those images to be used for promotional purposes as described above. I understand I may revoke this permission in writing at any time.

C.4 Cancellation Policy

The Platform has an 8-hour cancellation window:

  • Late Cancellation: Any class that is not cancelled by the user online through the scheduling platform PRIOR TO 8 HOURS before class start time is considered a LATE-CANCEL and will result in forfeiture of a class credit or a $20 fee
  • No-Show: Any class that is not attended, not cancelled or not checked in at the front desk is considered a NO-SHOW and will result in forfeiture of a class credit or a $25 fee
  • Early Morning Classes: For classes beginning Monday-Friday before 6:30 AM, the cancellation cutoff is 10 PM the night before
  • Waitlist Confirmation: After the 8-hour window (or 10 PM for early morning classes), you must reply "1" to confirm your reservation when a waitlist spot opens
  • Emergency Exceptions: May be granted at management discretion

C.5 Privacy Policy

The Platform cares about your privacy. We do not share or sell your information. By registering for or participating in a class, you are hereby agreeing to receive electronic communication by email or SMS messaging from the studio pertaining to your account, studio news or special promotions. Section D: Additional Legal Provisions

D.1 Governing Law & Jurisdiction

This agreement shall be governed by California law without regard to conflict of law principles. Any legal action arising from or relating to this agreement must be brought exclusively in the state or federal courts located in Los Angeles County, California. Participant hereby consents to personal jurisdiction and venue in said courts and waives any objection to jurisdiction or venue.

D.2 Severability

If any provision of this agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. Any invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

D.3 Statute of Limitations

Participant agrees that any claim, demand, or cause of action arising out of or related to participation in Programs must be brought within one (1) year from the date of the incident giving rise to such claim, or it shall be forever barred.

D.4 Emergency Medical Authorization

Participant authorizes The Platform staff to secure emergency medical treatment if deemed necessary, including transportation to medical facilities. Participant consents to such treatment and agrees to be financially responsible for all emergency medical costs incurred.

D.5 Equipment Responsibility

Participant agrees to use all equipment properly and safely according to provided instructions. Participant shall be liable for repair or replacement costs of any equipment damaged due to misuse, negligence, or intentional conduct.

D.6 Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to participation in Programs. This agreement may only be modified in writing signed by both parties.

Section E: Adult Participant Information and Signature

FOR ADULT PARTICIPANTS ONLY (18+ years). Parents/guardians of minor participants: Do not complete this section. Your signature in Section B.9 serves as your binding agreement.

I acknowledge that I have read and understood this entire agreement, including all provisions in Sections A, C, and D, and all legal consequences. I sign voluntarily and intend to be legally bound by this agreement.
